Codere SA to take its iGaming subsidiary public via SPAC merger

Spanish gaming operator Codere SA has announced the signing of a definitive agreement that is to see special purpose acquisition company (SPAC) entity DD3 Acquisition Corporation II merge with its Codere Online subordinate.

The Madrid-headquartered firm used an official Monday press release to declare that the arrangement is destined to take the iGaming enterprise public via a listing on the Nasdaq exchange in hopes of raising up to $350 million to help fund the unit’s upcoming ‘marketing expenditures, technology platform improvements and expansion into new high-growth markets’.

Climbing commitments:

Codere SA is responsible for land-based and online gaming operations in Spain, Mexico, Argentina, Italy, Uruguay, Colombia and Panama but was recently placed under the control of its American creditors as part of a shareholder-backed plan to help ease a spiralling deficit thought to be standing north of $834.4 million. The company disclosed that DD3 Acquisition Corporation II is led by former Goldman Sachs executive Martin Werner and holds around $125 million in a trust account alongside commitments from investors Baron Funds, MG Capital and LarrainVial Chile worth an additional $67 million.

Sustained sway:

Following the merger and Codere SA stated that it is ‘to maintain majority ownership’ in the iGaming operation and subsequently work with the unit’s ‘existing management’ under the control of Moshe Edree in an attempt to build upon its ‘strong presence’ in jurisdictions that already encompass Spain, Colombia, Panama and Mexico Come from Sports betting site VPbet. The company furthermore stated that Codere Online is scheduled to begin operations in the Argentinian capital of Buenos Aires later this year and will be looking towards becoming a ‘leading online gaming operator in Latin America’.

Prominent position:

For his part and Werner used the press release to divulge that this is the second time DD3 Acquisition Corporation II has conducted a merger following its amalgamation with Betterware de Mexico SA de CV in March of last year. The Mexican businessman also pronounced that the upcoming alliance is due to be completed ‘in the fourth quarter of 2021’ subject to the fulfilment of ‘certain closing conditions’ to create a ‘strong brand’ that is already highly visible across Latin America thanks to its ‘long-running sponsorships of soccer teams and athletes’.

Ruckus Games raises $19 million in funding for debut title, ‘Project Bobcat’

Indie developer Ruckus Games recently secured $19 million in funding for its unannounced debut project. Come from Soccer 13 pools and matches

Two years ago, the studio secured $5.5 million in a round led by Transcend Fund to build its "high-quality prototype." This new round was led by Krafton, with additional contributions from Transcend, BitKraft, and Hypergryph.

In its statement, Ruckus highlighted that prototype as proof its development costs "remain much lower than triple-A, while the team still delivers that same level of quality and fun of titles with exponentially bigger budgets."

Reminder- GDC Europe online registration closes today

With GDC Europe 2015 less than a week away and the session schedule finalized, conference officials have taken the liberty of highlighting a collection of can't-miss sessions for the event.

Online registration for GDC Europe 2015 will close today, July 29th at 23:59 PM ET. If you miss your chance to register online before the window closes, you'll have to pay extra to register onsite.

GDC Europe will take place next Monday and Tuesday, August 3rd and 4th at the Cologne Congress-Centrum Ost in Cologne, Germany — just ahead of (and co-located with) the massive gamescom trade fair, with all GDC Europe passes also guaranteeing entrance to gamescom.

Report- Xbox Entertainment Studios is no more
